Terms of Business
& Important Notices
These Terms of Business govern the relationship between you and Exclusive Insurance Services Ltd. By instructing us, allowing us to continue to act on your behalf, or paying our invoice, you agree to be bound by these Terms of Business, our Disclosure Documents, and any Important Notices issued with invoices or insurance documentation.

1. Agreement
You have appointed Exclusive Insurance Services Ltd ("we", "us", "our") as your insurance broker and, where applicable, your Financial Advice Provider. By instructing us, allowing us to continue to act on your behalf, or paying our invoice, you agree to be bound by these Terms of Business, our Disclosure Documents, and any Important Notices issued with invoices or insurance documentation.
2. Services and Advice
We provide insurance broking and financial advice services within the scope disclosed to you. Our services may include assessing your insurance needs, arranging, renewing, amending, or cancelling insurance policies, assisting with claims, and arranging premium funding where requested. We generally act as your agent when dealing with insurers.
3. Fees, Premiums, and Payment Terms
We are generally remunerated by commission paid by insurers, which is usually included in your insurance premium. We may also charge service or administration fees, which will be disclosed to you.
Our invoices are payable within the payment timeframe stated (generally 14 days). While insurers may allow us longer settlement terms for premiums (for example, up to 90 days), this does not extend the payment period available to you. If payment is not received within our stated credit terms, we may withdraw credit, issue follow-up notices, and notify the insurer of non-payment. The insurer may then cancel or lapse cover in accordance with policy terms. We are not obliged to fund premiums, taxes, or fees on your behalf.
4. Duty of Disclosure
You have an ongoing duty to disclose all material facts that may influence an insurer's decision to accept a risk or determine the terms of cover. This duty applies at inception, renewal, and whenever changes are made. Failure to disclose material information may result in declined claims, reduced cover, cancellation, or policy avoidance.
5. Conflicts of Interest
We manage conflicts of interest through internal governance controls. Where commissions, volume-based remuneration, or premium funding commissions apply, controls are in place to ensure advice is not influenced to your disadvantage.
6. Complaints and Dispute Resolution
If you are unhappy with our financial advice service, please contact your financial adviser so they can try to put things right. If you wish to make a complaint or do not feel comfortable discussing your concerns with your adviser, you can contact us as follows:

These Terms of Business are governed by the laws of New Zealand.
Important Notices
These Important Notices form part of our Terms of Business and Disclosure Documents and are issued with invoices and insurance documentation. They highlight key matters relevant to your insurance arrangements.
Fair Insurance Code
Where your insurer is a member of the Insurance Council of New Zealand, your insurer is committed to complying with the Fair Insurance Code. A copy of the Code can be found at www.icnz.org.nz.
Privacy Act
We collect, use, disclose, and hold your personal information in accordance with the Privacy Act 2020. Our privacy policy is available on our website or upon request at any time.
Payment Terms
Invoices are due within 14 days of issuance unless otherwise stated. If payment is not received within our credit terms, we may withdraw credit and notify the insurer. The insurer may then cancel or lapse the policy due to non-payment of premium in accordance with policy terms.
Cancellation
If you cancel cover prior to the policy expiry date, we will refund the insurer's net return premium received, less commission already earned and any applicable cancellation or administration fees.
Policy Documents
Any summary provided outlines general information only and does not replace the insurer's policy documents. The insurer's policy wording, schedule, terms, conditions, and exclusions always prevail. Please contact us without delay if you require copies of your policy documents.

All insurance policies contain exclusions and conditions that limit coverage. For a full list of applicable exclusions and conditions, please refer to the insurer's policy documents.
